Terms of Service

1. Acceptance of These Terms

Welcome to TurniCup.

These Terms of Service ("Terms") govern your access to and use of the TurniCup website, applications, and related services (the "Service").

By creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

2. About TurniCup

TurniCup is an online platform that enables users to:

• create tournaments
• generate tournament brackets
• manage matches
• record tournament results
• share tournaments using private links, which the organizer can switch on and off at any time

TurniCup does not organize tournaments and is not responsible for tournament administration beyond providing the software platform.

3. Eligibility

You must have the legal capacity to enter into a binding agreement under the laws applicable to you.

You must be at least 16 years old to create an account. If you are younger, you may use the Service only through an account held by a parent, guardian, school, club or other responsible adult.

If you are using the Service on behalf of an organization, club, school, company, or other entity, you represent that you have authority to bind that organization to these Terms.

4. User Accounts

Accounts may be created using supported authentication providers, including:

• Google
• Facebook

You are responsible for maintaining the security of your account, for all activity occurring under your account, and for keeping your account information accurate.

You must immediately notify us if you believe your account has been compromised.

5. Tournament Content

Users may create tournaments and submit content, including:

• tournament names
• participant names
• nicknames
• tournament brackets
• match results
• tournament descriptions

You remain solely responsible for all content you submit.

TurniCup does not verify the accuracy, legality, ownership, or identity of participant information.

6. Participant Information

Tournament participants are not required to create a TurniCup account.

Participants may be identified using:

• real names
• nicknames
• usernames
• initials
• other identifiers entered by the tournament organizer

You are solely responsible for ensuring that you have the legal right to enter participant information into the Service.

Where required by applicable law, you are responsible for obtaining any necessary permissions or consents before submitting participant information, including information relating to minors.

6.1 Data Processing Agreement

This section is the data processing agreement required by Article 28 of the GDPR. It applies whenever you enter information about tournament participants into the Service. For that information you act as the controller and TurniCup acts as your processor.

• (a) Subject matter and duration. We process participant information solely to provide the Service, for as long as your account exists.
• (b) Nature and purpose. Creating and displaying tournament brackets, recording match results, and making them available through links you choose to share.
• (c) Types of data and data subjects. The identifiers you enter for participants — real names, nicknames, usernames, initials or other identifiers — together with match results. The data subjects are the participants of the tournaments you create.
• (d) Instructions. We process participant information only on your documented instructions, which comprise these Terms and your use of the features of the Service. We do not use it for our own purposes and we do not sell it.
• (e) Confidentiality. Personnel authorized to access participant information are bound by obligations of confidentiality.
• (f) Security. We implement appropriate technical and organizational measures under Article 32, including encrypted transmission, access controls and separation of customer data.
• (g) Sub-processors. You give general authorization for us to engage sub-processors. Those currently engaged are listed in section 7 of our Privacy Policy, we impose on them data protection obligations equivalent to those in this section, and we update that list before engaging a new one. If you object to a new sub-processor on reasonable data protection grounds, you may terminate your subscription.
• (h) Assistance. Taking into account the nature of the processing, we assist you in responding to requests from participants exercising their rights, and with your obligations under Articles 32 to 36, insofar as this is possible through the features of the Service.
• (i) Breach notification. We notify you without undue delay after becoming aware of a personal data breach affecting participant information.
• (j) Deletion. When your account is deleted we delete or anonymize participant information as described in section 8 of the Privacy Policy, unless we are required by law to retain it.
• (k) Audit. On reasonable written request, and not more than once a year, we make available the information necessary to demonstrate compliance with this section.

You accept this data processing agreement by accepting these Terms. It forms part of them and takes effect when you first enter participant information into the Service.

7. Tournament Visibility and Shared Links

Tournaments you create are private by default. A tournament is not publicly available and is not accessible to anyone else until you, as the organizer, switch sharing on for that tournament.

Sharing is activated only by your own explicit action. Once you enable sharing, TurniCup makes a shareable link available, and anyone who receives that link may be able to view the information made available through that tournament, including participant identifiers, brackets and results.

You may switch sharing off again at any time. Once sharing is switched off, the link no longer provides access to the tournament. We cannot, however, recall or delete information that other people already viewed, saved, copied, cached or redistributed while sharing was active.

Whether a tournament is shared at all, with whom the link is shared, and how long sharing remains active is entirely within your control as the organizer. You are solely responsible for that decision and for the consequences of making tournament information available to others.

TurniCup never makes a tournament public on its own initiative and accepts no responsibility for information disclosed as a result of sharing that you enabled, for the unauthorized redistribution of shared links by third parties, or for the further use of information obtained through such links.

8. Acceptable Use

You agree not to:

• violate any applicable law
• upload unlawful or offensive content
• impersonate another person
• attempt unauthorized access to the Service
• interfere with the operation or security of the Service
• distribute malware or harmful software
• use automated systems to overload the Service
• reverse engineer or attempt to extract source code except where permitted by law

9. Subscription and Payments

Certain features require a paid subscription.

Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to payments and handles returns and refunds.

When you purchase a subscription, you make the purchase from Paddle, and Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms) apply to that transaction. These Terms continue to govern your access to and use of the Service.

Prices are shown on our pricing page. Applicable taxes, such as VAT or sales tax, are calculated and collected by Paddle based on your location and are shown at checkout before you complete your purchase.

Unless otherwise stated:

• subscriptions renew automatically at the end of each billing period, and Paddle charges your chosen payment method
• you may cancel renewal at any time through your account or via the link in the receipt email sent by Paddle
• cancellation prevents future renewals but does not refund the current billing period, except as set out in our Refund Policy or where required by applicable law

10. Free Features

TurniCup may provide certain features free of charge.

We may modify, limit, or discontinue free features at any time.

11. Intellectual Property

TurniCup, including its software, user interface, branding, graphics, logos, and source code, is owned by Solid Code s. r. o. or its licensors.

These Terms do not transfer ownership of any intellectual property to you.

12. User Content License

You retain ownership of tournament information you submit.

You grant TurniCup a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your content solely for the purpose of operating and improving the Service.

This license ends when your content is permanently removed from the Service, except where retention is required by law or for backup and security purposes.

13. Availability of the Service

We aim to provide reliable service but do not guarantee uninterrupted availability.

The Service may occasionally be unavailable due to:

• maintenance
• updates
• technical failures
• events beyond our reasonable control

14. Disclaimer

The Service is provided "as is" and "as available".

To the maximum extent permitted by law, TurniCup disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, TurniCup shall not be liable for:

• loss of profits
• loss of data
• loss of business
• indirect or consequential damages
• tournament scheduling errors
• participant disputes
• incorrect information entered by users
• information disclosed as a result of sharing enabled by an organizer

Our total liability arising from your use of the Service shall not exceed the amount you paid for your TurniCup subscription, whether to TurniCup or to Paddle as our reseller, during the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless TurniCup, its directors, employees, contractors, and affiliates against any claims, damages, liabilities, costs, or expenses arising from:

• your use of the Service
• your tournament content
• participant information submitted by you
• violation of these Terms
• violation of applicable law

17. Suspension and Termination

We may suspend or terminate your account if you:

• violate these Terms
• misuse the Service
• engage in fraudulent or unlawful activity
• create security risks for TurniCup or other users

You may stop using the Service at any time.

18. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy.

19. Changes to the Service

We may modify, improve, replace, or discontinue features of the Service at any time.

We may also update these Terms.

Material changes will become effective after publication on our website.

Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Slovak Republic, excluding conflict of law rules.

Where mandatory consumer protection laws apply, those rights remain unaffected.
